iQpartner Program Terms

These Program Terms are an agreement between you and iQreply LLC ("iQreply", "we", "us"), a limited liability company organized in the State of Florida, United States. They govern your participation in the iQpartner affiliate program.

By accepting these terms in your partner dashboard you agree to them. They are in addition to our Terms of Service and Privacy Policy, which also apply to you.

1. What the program is

You recommend iQreply using a referral link we give you. When somebody signs up through that link and becomes a paying customer, you earn a share of what they pay, for as long as they keep paying.

Taking part does not make you an employee, agent, partner or representative of iQreply. You are an independent contractor. You cannot enter into agreements, make promises or accept money on our behalf, and you must not present yourself as being able to.

2. How the commission is worked out

Your rate depends on how many of your referred accounts are paying at the time a month is closed: 10% from five paying accounts, 15% from ten, and 20% from twenty. A rate applies to every account you have brought, not only to the ones past that step.

Below five paying accounts, no commission accrues. This is a condition of the program and not a delay: months spent below five do not accrue anything that is paid later.

The commission is a percentage of the NET amount we receive: what the customer pays minus the payment processing fees charged by Stripe. Processing fees are not our revenue and are not part of any commission. Every statement shows the fee for every payment.

A trial is not a paying account. Accounts that are on a free trial, cancelled, or not paying for any reason do not count towards your rate and generate no commission.

If your number of paying accounts falls, your rate is recalculated from what is true when the next month closes, and it can go down as well as up. Commission already earned and shown on a closed statement is not affected.

3. When and how you are paid

Each calendar month is closed on the first day of the following month, which fixes what you earned in it. Payment is sent on the fifteenth day of that month. Everything you earned in a month arrives as a single payment, never one payment per customer.

The gap between the customer paying and you being paid exists because card payments can be refunded or disputed weeks afterwards.

If your balance at the close of a month is under fifty United States dollars (US$50), no payment is sent and the balance is carried into the following month, where it adds up. Nothing expires.

Payments are made through Stripe to a connected account you create yourself. We collect no bank details: Stripe collects and holds them. Until that account exists and Stripe accepts it, amounts you have earned are held for you and are not lost.

If a customer payment is refunded or lost to a chargeback after the commission on it was paid to you, that amount is deducted from your next statement and shown on it as its own line. We will not ask you to return money that has already been sent.

4. Attribution

A referral is attributed when somebody arrives through your link and creates an account. Attribution is recorded for the first partner link that reaches a new account and cannot be overwritten by a later one.

You may not claim a referral for an account that already existed, for somebody who would have signed up anyway through another route, or for accounts you or a business you control create yourself. Self-referral earns nothing and is grounds for removal from the program.

5. What you must not do

The following end your participation and forfeit unpaid commission:

  • Bidding on "iQreply", our product names, or close variations of them in paid search or any paid advertising platform, or using them in the display URL of an advertisement.
  • Registering domain names, social accounts, app listings or pages that use our name or are likely to be mistaken for us.
  • Presenting yourself as iQreply, as an employee of iQreply, or as speaking on our behalf.
  • Making claims about what iQreply does, guarantees, earns or achieves that we do not make ourselves.
  • Unsolicited bulk email, messaging or comment spam of any kind; posting your link where it is against the rules of the platform you post it on.
  • Cookie stuffing, forced clicks, hidden redirects, misleading pop-ups, fake discount or coupon pages, or any technique that records a referral the person did not intend.
  • Offering unauthorized discounts, rebates or cashback in our name.
  • Adult, hateful, violent, deceptive or illegal content, or placing your link alongside it.

Where the law requires you to disclose that you earn a commission — and in the United States it does — you must do so clearly and close to the link, in your own words. This is your obligation and we may ask you to show how you are meeting it.

6. What you can see about referred customers

Your dashboard shows the business name of each account you referred, its plan, and whether it is paying. It does not show the name, email or any personal information of the people behind those accounts, and it never shows anything they do inside the product.

What you do see is confidential information of ours and of our customers. You may not publish it, sell it, or use it to contact those businesses or to market anything to them.

7. Taxes

You are responsible for any taxes owed on what you earn. We do not withhold on your behalf unless the law requires it.

Stripe collects the tax information it needs from you as part of setting up your payout account. If you are a United States person and are paid six hundred dollars (US$600) or more in a calendar year, we will report it as the law requires.

8. Changes to the program

We may change these terms, including commission rates and thresholds. We will give you at least thirty (30) days notice by email before a change that reduces what you earn takes effect, and it will not apply to commission already earned.

Continuing in the program after a change takes effect is acceptance of it. If you do not accept, you may leave and we will pay what you have already earned.

9. Ending it

You can leave at any time by writing to team@iqreply.ai. We will pay what you have already earned on the next payout date.

We can end your participation at any time with notice. If we end it because of something in section 4 or 5 — fraud, spam, misuse of our name, misrepresentation — we may withhold unpaid commission, and we will tell you why.

When participation ends, your link stops attributing new accounts and commission stops accruing, including on accounts you referred earlier.

10. No warranty, and the limit of what we owe

The program is provided as it is. We do not promise that any particular number of people will sign up, that any referral will become a customer, or that you will earn any particular amount.

To the fullest extent the law allows, our total liability to you in connection with this program is limited to the commission owed to you and not yet paid.

11. Governing law

These terms are governed by the laws of the State of Florida, United States, without regard to its conflict of law rules. The courts of Miami-Dade County, Florida have exclusive jurisdiction over any dispute arising from them.
